These Terms of Service ("Terms") govern access to and use of WCX, a platform for selling digital products, operated by WHALECOMMERCE LLC, a limited liability company registered in the State of Wyoming, United States ("WCX", "we", "us" or "our"). Our address is 1501 South Greeley Hwy, Ste C #1241, Cheyenne, WY 82007, USA and our support email is support@wcx.digital.
1. Who can use WCX
1.1 WCX is a business service for companies and professionals who sell their own digital products to their own customers ("Sellers"). People who buy in a store on WCX are "Buyers". Each store belongs to a Seller: Buyers buy from that Seller, under the terms of sale, privacy notice and refund policy published on the store, and WCX provides the software.
1.2 By accepting an invitation, creating a store or using WCX, you accept these Terms for yourself and for the business you represent. You also confirm that you are at least 18 years old and authorized to bind that business.
1.3 If you are a Buyer, these Terms do not govern your purchase: the terms of sale, privacy notice and refund policy published on that store apply. Our Refunds page explains how to reach the store.
2. Access by invitation
2.1 WCX is available by invitation only (early access). You can request early access by writing to support@wcx.digital. We review each request and may accept or decline it at our discretion. A request creates no obligation for you or for us.
2.2 Invitations are personal and cannot be transferred. You can invite team members to your organization or stores and give each one a role (owner, editor, analyst or assistant, a drafts-only role). You are responsible for all activity under your account, including activity by your team members and by any automated tool or agent you authorize.
2.3 Keep your sign-in methods secure. Tell us right away at support@wcx.digital if you suspect unauthorized access.
3. The Service
3.1 Depending on what is enabled for you, WCX provides (together, the "Service"):
- store pages on your own domain (landing, checkout, post-purchase offers, thank-you and legal pages);
- a checkout with one-click post-purchase offers that uses third-party payment processors (WCX Pay);
- first-party, server-side conversion measurement for the advertising networks you connect (WCX Signal);
- a profit dashboard;
- a members library with an online reader that Buyers can add to their home screen;
- transactional email sent under your brand (WCX Mail);
- custom domain setup;
- organizations with several stores and roles.
3.2 Your brand. Store pages, receipts and emails that your Buyers see show your brand, not WCX's.
3.3 Domains. Domains you connect or register stay yours. We change DNS for your domains only after you approve the change.
3.4 Reports. Dashboard figures depend on data reported by payment processors and advertising networks. When a figure is missing or estimated, the dashboard says so. No measurement system can attribute every sale, and we do not guarantee any match or attribution rate.
4. Your responsibilities
You are solely responsible for:
(a) your products: that they are lawful, accurately described and delivered as promised, and that you hold every right needed to sell them. Each product must state its access period. Promises of "lifetime access" are not allowed;
(b) your Buyers: customer service, delivery, refunds, cancellations, complaints and disputes;
(c) your store policies: your own terms of sale, privacy notice, refund policy and contact details, published on your store. WCX provides the pages to publish them; what they say is up to you;
(d) your marketing: your ads, pages and emails must be truthful and must comply with the law and with the policies of the advertising networks you use;
(e) taxes: determining, collecting, reporting and paying the taxes on your sales, except where a Processor collects or remits them under its own terms; and
(f) complying with every law that applies to your business, including consumer protection, privacy, email marketing, sanctions and export laws.
5. Payments and Processors
5.1 Buyers' payments are processed by third-party payment processors, currently Whop and Stripe ("Processors"). To accept payments you may need to open or connect an account with a Processor, complete its identity verification and accept its terms directly. The Processor's terms govern payment processing, payouts, reserves, the Processor's fees, refunds and chargebacks.
5.2 WCX is not a bank, money transmitter or payment processor, and it does not hold the money from your sales: the Processor settles it under its terms. Card details are typed into payment fields provided by the Processor. WCX does not receive or store them (see our Security page).
5.3 Processors may decline, hold or reverse payments, or restrict your account with them, under their own rules. WCX is not responsible for Processors' decisions, fees or outages.
5.4 To provide the Service, we receive information about your transactions from the Processor, such as payment status, amounts, fees, refunds and disputes.
6. Fees and promotions
6.1 WCX has no paid plans today and charges Sellers nothing. WCX will be sold as a subscription: before any charge, the plan's price, currency, billing period and any other conditions will be shown to you and agreed in writing (email is enough). Without such an agreement, WCX charges you nothing.
6.2 Fees of Processors, advertising networks, domain registrars and other providers are separate. Those providers charge them under their own terms.
6.3 WCX does not currently offer promotions, discounts or trials. If it does, the conditions will be shown with the offer and confirmed in writing before you accept.
7. Acceptable use
You must follow our Acceptable Use Policy, which is part of these Terms, and the rules of the Processors and card networks. Where those rules differ, the stricter one applies.
8. Personal data
8.1 For the personal data of your Buyers and store visitors, you are the controller. WCX processes that data on your behalf and on your instructions, as described in our Privacy Policy.
8.2 You must have a valid legal basis for that processing, publish a privacy notice on your store, keep your store's consent settings and texts accurate (including any opt-out that a U.S. state privacy law requires of your business), and answer your Buyers' requests. We will help you answer requests about data we hold.
8.3 If you need a data processing agreement, write to support@wcx.digital.
8.4 Do not upload sensitive data, such as health data, government ID numbers, card numbers or passwords, unless a feature expressly asks for it.
9. Intellectual property
9.1 WCX owns the Service, its software, design and documentation, and the WCX name and logo. While you have access, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service under these Terms.
9.2 You keep all rights to your content (products, files, pages, brand assets and texts). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display your content, but only as needed to provide the Service to you, keep it secure and comply with the law.
9.3 If you send us suggestions, we may use them with no obligation to you.
9.4 You may not copy, modify, reverse engineer, resell or create derivative works of the Service, except where the law allows it.
10. Third-party services
WCX connects to services you choose, such as Processors, advertising networks, domain registrars and email providers. Their terms and privacy policies govern your use of them. We are not responsible for them.
11. Suspension and termination
11.1 You may stop using WCX at any time by writing to support@wcx.digital.
11.2 We may suspend or limit your access, remove content or end your access, with notice when reasonably possible, if:
- you breach these Terms or the Acceptable Use Policy;
- a Processor, card network, authority or court requires it;
- your activity creates risk for Buyers, other Sellers, WCX or our providers (for example, high refund or dispute rates, or suspected fraud);
- you do not pay a fee agreed in writing; or
- we stop offering the Service.
When appropriate, we will tell you the reason and how to fix it.
11.3 When your access ends, your stores stop operating on WCX. You remain responsible to your Buyers, including for access you already sold, refunds and disputes. We handle your data as described in our Privacy Policy. Sections 4, 5.3, 6 (for fees already owed), 8, 9, 12, 13, 14, 17 and 18 survive.
12. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, WCX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free. We also do not guarantee any level of sales, conversions or advertising results, approval by Processors or advertising networks, or measurement match rates.
13. Limitation of liability
To the maximum extent permitted by law:
(a) WCX is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and
(b) WCX's total liability for all claims relating to the Service is limited to the greater of: the fees you paid WCX in the 12 months before the event that gave rise to the claim, or US$100.
Where the law does not allow these limits, they apply only as far as it allows.
14. Indemnity
You will defend, indemnify and hold harmless WCX and its members, managers and agents from any claims, damages, fines and costs (including reasonable legal fees) that arise from your products, your content, your store policies, your dealings with Buyers, or your breach of these Terms or the law.
15. Changes
We may change the Service. We may also update these Terms. For material changes, we will notify you by email or in the dashboard at least 30 days before they take effect, unless the law or a Processor requires an earlier change. If you keep using WCX after that date, you accept the updated Terms. The date at the top shows the current version.
16. Legal and export restrictions
You may not use WCX if you are located, organized or ordinarily resident in a country or region under comprehensive U.S. sanctions, or if you or your business appear on a U.S. government restricted-party list. Processors may restrict other countries too (for example, Whop does not support accounts or payments in certain countries). You must not sell where the sale would violate sanctions or export laws.
17. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute about these Terms or the Service, and both parties consent to that jurisdiction. Before starting a claim, write to support@wcx.digital so we can try to resolve it informally within 30 days.
18. General
- These Terms, the Acceptable Use Policy, the Privacy Policy and any written agreement with you are the entire agreement on this subject. If a signed written agreement conflicts with these Terms, the written agreement prevails.
- If any provision cannot be enforced, the rest stays in effect. Not enforcing a provision is not a waiver.
- You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition or sale of assets.
- Neither party is liable for delays caused by events beyond its reasonable control.
- We send notices to your account's email address. Send yours to support@wcx.digital or to 1501 South Greeley Hwy, Ste C #1241, Cheyenne, WY 82007, USA.
- A Spanish version is provided for convenience. If the versions conflict, the English version prevails.
